TASK I— PROJECT MANAGEMENT 1. Plan and participate In a PROJECT kick-off meeting with CITY to confirm PROJECT scope, team, lines of communication, and schedule; 2. Plan and participate in up to two (2) project status meetings and two (2) site meetings to facilitate PROJECT coordination, timeliness, and budget compliance. Prepare meeting summary (meeting minutes) and distribute to participants; 3. Develop a PROJECT task schedule; 4, Prepare and provide monthly progress/status reports to the CITY sufficient to support monthly billings. Monthly status reports shall be submitted with monthly invoices; and 5. Contact and coordinate with franchise utility companies to inform them of the'PROJECT, update record Information, coordinate survey and base mapping information, identify possible conflicts, and establish critical issues for design, PROJECT schedule, and construction. Note areas for potential conflict of lines to be resolved during design; • TASK II — DETAILED DESIGN The following shall be provided for the preparation of construction documents: 1. ENGINEER will prepare Plans and Specifications for the PROJECT. The PROJECT Is based on the preparation of plans and specifications for the installation of 4" Fiber Optic conduit along two segments of McHard Road. One segment will be from Smith Ranch Road to east of Cullen Blvd. the other segment will be from west of Mykawa Road to east side of Old Alvin Road; Design 2 of 9 D1O.Revised 12/11 2. Conduit drawings will include plan-only, double stack, at 1-inch equal fifty (50) feet scale horizontally (full size plans); prepare general specifications and quantities for Contractor's installation of as-needed Storm Water Pollution Prevention Systems; and traffic control plan and standard details, as needed; 3. Prepare construction related permits required for the installation of the proposed fiber optic conduit, such as City roadway, TxDOT roads, gas line, pipelines, or power line; 4. Opinion of probable construction costs—ENGINEER will prepare an opinion of probable construction costs for review by the CITY following completion of the conduit alignment route study. This opinion will be updated for the sixty percent (60%), the ninety percent (90%), and the final (100%) quality control review meetings; 5. Quality control review meeting-- ENGINEER will plan and participate in up to two (2) quality control review meetings with CITY personnel. The meetings will be held at approximately the sixty percent (60%) and the ninety percent (90%) project completion stages. ENGINEER will provide three (3) review sets (half-size), and three (3) review sets of specifications a minimum of ten (10) working days before the review meetings. A meeting memorandum will be prepared documenting major revisions and decisions made during each of the meetings. The meeting locations will be at the CITY'S offices. TASK Ill CONSTRUCTION ADVERTISEMENT AND BIDDING The CITY's Purchasing Department shall be responsible for advertising and bidding the PROJECT, including all correspondence, and bid opening meetings. ENGINEER shall provide the following during advertising and bidding: 1. Pre-bid meeting—Assist CITY in conducting a pre-bid conference with the Contractors; Design 3 of 9 D14.Revised 12/11 2. Bidding documents--ENGINEER will provide the CITY with electronic PDF files of the construction plans and the specifications. The CITY shall be responsible for posting the bid documents to the CITY's website for access for potential bidders; 3. Information to bidders—When requested by CITY, ENGINEER shall respond to questions related to the construction bid documents regarding the PROJECT; 4. Addenda—When requested by CITY, ENGINEER shall prepare and deliver to CITY, in PDF format, up to two (2) addenda addressing additions, deletions, modifications, or interpretations to the contract documents; and 5. Prepare contract documents for execution — assist the CITY in preparing construction documents for execution by the successful low bidder. Prepare a Notice of Award for the CITY to issue to the contractor upon award of the contract by the CITY with instructions of executed documents and bonds for conformance with the requirements of construction contract documents. Assist the CITY in reviewing executed documents and bonds for conformance with the requirements of construction contract documents. Assist the CITY in reviewing certificates of insurance for compliance with construction contract documents. Forward documents to the CITY with a recommendation of execution and distribution of documents. Those documents will include up to three (3) half-size conformed construction plans, three (3) sets of executed construction specifications, and three (3) sets of conformed construction specifications, TASK IV—CONSTRUCTION PHASE GENERAL REPRESENTATION FNI will proceed with the performance of Construction Phase Services as described below. FNI will endeavor to protect the CITY In providing these services. However, it Is understood that FNI does not guarantee the Contractor's performance, nor is FNI responsible for supervision of the Contractor's operations or employees. FNI shall not be responsible for the means, methods, Design 4 of 9 DID.Revised 12/11 techniques, sequences, or procedures of construction selected by the Contractor, or any safety precautions and programs relating in any way to the condition of the premises, the work of the Contractor, or any Subcontractor. FN1 shall not be responsible for the acts or omissions of any person (expect its own employees or agents) at the Project site or otherwise performing any of the work of the Project: 1. Pre-Construction Conference -Assist CITY in conducting a pre-construction conference with the Contractor; 2. Communication - Establish communication procedures with the CITY and the Contractor; 3. Documentation & Submittals - Establish and maintain a project documentation system consistent with the requirements of the construction contract documents. Monitor the processing of Contractor's submittals and provide for filing and retrieval of project documentation. Review Contractor's submittals, Including: a) Requests for Information (up to 10); b) Contract modifications (up to 5): c) Shop drawings (up to 10); d) Schedules (up to 4- monthly); e) Other submittals in accordance with the requirements of the contract documents for the Project. 4. Site Visits - Make one (1) site visit per month for the estimated 5-month construction duration (5 site visits_total) to observe the progress and quality of work and attempt to determine, in general, if the work Is proceeding in accordance with the contract documents. In this effort, FM will endeavor to protect the City against defects and deficiencies in the work of Contractors Design 5of 9 1)10.Revised 12/11 and will report any observed deficiencies to the City. Visits to the site in excess of the specified number are an additional service: 5. Contractor Quality Review - Notify the Contractor of non-conforming work observed on site visits. Review quality related documents provided by the Contractor such as test reports, equipment installation reports, or other documentation required by the contract documents; 6. Contract Document Interpretation - interpret the drawings and specifications for the City and Contractor. Investigations, analyses, and studies requested by the Contractor and approved by the City for substitutions of equipment and/or materials or deviations from the drawings and specifications is an additional service; 7. Change Order Documentation - Establish procedures for administering constructive changes to the construction contracts. Process contract modifications and negotiate with the Contractor on behalf of the CITY to determine the cost and time impacts of these changes. Prepare change order documentation for approved changes for execution by the CITY. Documentation of field orders, where cost to CITY is not impacted, will also be prepared; 8. Substantial Completion - Conduct, in company of CITY's representative, one (1) site visit for review of the Project for Substantial Completion, including conformance with the design concept of the Project and general compliance with the contract documents, Prepare a list of deficiencies to be corrected by the Contractor before recommending the project be Substantially Complete; and 9. Final Completion - Conduct, in company of CITY's representative, one (1) site visit for review of the Project for Final Completion, including conformance with the design concept of the Project and general compliance with the contract documents, Prepare a list of deficiencies to be corrected Design 6 of 9 D10.Revised 12/11 by the Contractor before recommendation of final payment. Assist the CITY in obtaining legal releases, permits, warranties, and spare parts from the Contractor. TASK V— PREPARATION OF RECORD DRAWINGS 1. Examine the Contractor's construction record as-built drawings once a month to determine that the information appears to be recorded in an accurate and timely manner by the Contractor as required In the construction contract documents; and 2. Preparation of Record Drawings -The ENGINEER shall revise the construction drawings In accordance with the information furnished by Contractor(s), reflecting changes made during construction of the PROJECT. ENGINEER shall organize and participate in a record drawings review workshop with CITY personnel prior to finalizing record drawings. The ENGINEER shall provide the CITY with one set of electronic (PDF) record drawings and three (3) half size bond sets of record drawings. ENGINEER shall provide electronic files of the record drawings in formats suitable to the CITY. SPECIAL SERVICES: There are no Special Services included as a part of the PROJECT. ADDITIONAL SERVICES: Additional Services to be performed by FNI, if authorized in writing by OWNER's authorized representative, which are not included in the above described Basic or Special Services, are described as follows: 1. Prepare to serve or serve as an expert witness on behalf of the CITY in connection with any public hearings or legal proceedings; Design 7 of 9 D 10.Revised 12/11 2. Preparation of applications and supporting documents for government grants, loans, or planning advances; 3. GIS mapping services or assistance with these services; 4. Design of siphons, meter stations, and/or a customized odor control system; 5. Condition assessment of existing wastewater pipelines and manholes, including CCTV; 6. Inspection during construction activities; 7. Post construction survey; 8. On-the-Ground flagging of easements; 9. Prepare legal descriptions and plats beyond the number previously stated; 10. Perform geotechnical assessments to determine soil, water table, or trenching characteristics beyond the number previously stated; 11. Furnish construction plans and specifications in excess of those sets previously stated; 12. Complete redrawing of construction plan sheets, if required as a result of changes made in the scope of the construction contract after submission of final plans to the CITY; 13. Observe on-site conditions to evaluate exposed conditions, dewatering techniques, or changed conditions; 14. Land acquisition services, included but not limited to preparing appraisals, title research, negotiations, etc.; 15. Prepare any environmental permits (USACE, EPA, THC USFWD, etc.); 16. Separating the project into two or more sets of construction documents; Design B of 9 D10.Revised 12/11 17. Preparation of a pre-construction notification (PCN) or an individual Section 404 permit application; 18. Preparation of a mitigation plan for impacts to waters of the U.S. or other natural resources; 19. Conducting an archeological survey; 20. Floodplain mapping, development of floodway models, and/or preparation of a LOMAR or CLOMAR; 21. Conducting a formal habitat evaluation (e.g., HEP/VVHAP) along the proposed pipeline alignments; 22. Conducting a condition assessment (e.g., TXRAM) on waters of the U.S. potentially Impacted by the proposed project; 23. Presence/absence surveys for federally listed threatened/endangered species; 24. Conducting a tree survey by a licensed arborist for the purpose of complying with any federal, state or local permitting requirements; 25. Providing construction control staking prior to advertising/bidding of the PROJECT; 26. Appearance before any regulatory agency, other than the City; 27. Application for General Land Office Easement; 28. Consultation with the U.S. Fish and Wildlife Service under Section 7 of the Endangered Species Act; and 29. Provide any other services otherwise excluded in this AGREEMENT but customarily furnished in accordance with generally accepted engineering practices. Design 9 of 9 DID.Revised 12111 ATTACHMENT A-SUPPLEMENTAL SCOPE OF SERVICES ARTICLE I BASIC SERVICES: Freese and Nichols, Inc. (FNI) shall render the following professional services in connection with the development of the Project described as: McHard Road Fiber Optic Conduit—Smith Ranch Road to Cullen Blvd.&Mykawa Road to Old Alvin Road. A. DESIGN PHASE SERVICES Upon authorization from the CITY, FNI shall render the following services: I. Data Collection Use City's GIS mapping files,McHard Road Water Transmission Line plans, McHard Road RR overpass and other available maps to create the basic plan-only layout of McHard Road corridor between Smith Ranch Road to Cullen Blvd.and Mykawa Road to Old Alvin Road,for the purpose of design. 2. Conduct design related site visits. 3. Study McHard Road Railroad overpass bridge plans for the fiber optic conduit attachment to bridge structure at Hickory Slough crossing. 4. Prepare construction plans for the 4"Fiber Optic conduit within the project limits including cover sheet,general notes,summary quantities tables,general typical sections,small-scale project layout sheet,1"=50'scale double stack,plan-only,conduit layout sheets showing open cut,cased,uncased, and aerial installation of fiber optic conduit,with associated details and standards. 5. Conduct limited utility and pipeline coordination to depict general locations of crossings. 6. Submit three (3) half-size 60%-complete plan sets to CITY for review and comments. Attend a meeting to discuss review comments. FNI will provide a response to CITY's comments in writing. 7. Upon receipt of 60%-complete comments,continue further development of construction plans and details to 90%Ievel. 8. Assemble TxDOT's standard one-lane closure and work zone barricade traffic control plans and details for the Project. 9. Prepare Technical Specifications and Contract Document for the Project. 10. Provide general approximate quantities for SW3P system for as-needed basis for the contractor to use for Stormwater pollution prevention. 11. Prepare bid quantities and cost estimate and updates. 12. Submit three(3)half-size 90%-complete plan sets, technical specifications and contract documents to the CITY for review and comments. Attend meeting to discuss comments.FNI will provide a response to CITY's comments in writing. 13. Assist CITY in acquiring permits from TxDOT for Conduit crossings at FM 865(Cullen Blvd.) and SH 35. 1 14. Assist CITY in approval of plans from pipelines, 15. Upon final approval by the CITY,FNI will provide CITY three(3)sets of"Final"plans and construction documents. In addition,FNI will provide the CITY with pdf copies of the plans and specifications on a CD. 16. Prepare quantities for contractor on as-needed Stormwater Pollution Prevention Plans and Details for the Project. 17. Assemble TxDOT's standard one-lane closure traffic control plans and details for the purpose of construction traffic control. 18. Adhere to Exhibit A, "Utilities Scope of Services for McHard Road Fiber Optic Conduit." B. BID PHASE SERVICES Upon authorization from the CITY,FNI will proceed with the performance of services in this phase as indicated in Exhibit A, "Utilities Scope of Services for McHard Road Fiber Optic Conduit." C. CONSTRUCTION PHASE SERVICES Upon completion of the bid phase services,FNI will proceed with the performance of construction phase services as described Exhibit A, "Utilities Scope of Services for McHard Road Fiber Optic Conduit." FNI will endeavor to protect CITY in providing these services however,it is understood that FNI does not guarantee the Contractor's performance, nor is FNI responsible for supervision of the Contractor's operation and employees. FNI shall not be responsible for the means,methods,techniques,sequences or procedures of construction selected by the Contractor,or any safety precautions and programs relating in any way to the condition of the premises,the work of the Contractor or any Subcontractor. FNI shall not be responsible for the acts or omissions of any person(except its own employees or agents)at the Project site or otherwise performing any of the work of the Project. E. SPECIAL SERVICES 1. No Special Services are included in this Scope of Services. ARTICLE II ADDITIONAL SERVICES: Services that are not specifically listed in above Supplemental Scope of Services or Attachments shall be considered as Additional Services to be performed by FNI,if authorized by CITY and will be paid for as stated in the Compensation Attachment. ARTICLE III TIME OF COMPLETION: FNI is authorized to commence work on the Project upon execution of this AGREEMENT and agrees to complete the services in accordance with the following schedule: 1. Design Phase: Upon authorization by the CITY,FNI shall proceed with performance of professional services defined as Design Phase, to submit Final plans and construction documents within 90 2 calendar days after date of authorization. Approval period by the CITY and other agencies have not be accounted for. 2. Bid&Construction Phases: Upon authorization by the CITY,FNI shall proceed with performance of professional services defined Bid and Construction Phases until completion of the Project. If FNI's services are delayed through no fault of FM,FNI shall be entitled to adjust contract schedule consistent with the number of days of delay. These delays may include but are not limited to delays in CITY or regulatory reviews,delays on the flow of information to be provided to FNI,governmental approvals,etc. ARTICLE IV RESPONSIBILITIES OF CITY: CITY shall perform the following in a timely manner so as not to delay the services of FNI: A. Designate a person to act as CITY's representative with respect to the services to be rendered. Such person shall have contract authority to transmit instructions, receive information,interpret and define CITY's policies and decisions with respect to FNI's services for the Project. B. Provide all criteria and full information as to CITY's requirements for the Project, including design objectives and constraints,space,capacity and performance requirements,flexibility and expandability, and any budgetary limitations;and furnish copies of all design and construction standards which CITY will require to he included in the drawings and specifications. C. Assist FNI by placing at FNI's disposal all available information pertinent to the Project including previous reports and any other data relative to design or construction of the Project. D. Arrange for access to and make all provisions for FNI to enter upon public and private property as required for FNI to perform services. B. Attend the pre-bid conference,bid opening,preconstruction conferences,construction progress and other job related meetings and substantial completion inspections and final payment inspections. F. Give prompt written notice to FNI whenever CITY observes or otherwise becomes aware of any development that affects the scope or timing of FNI's services,or any defect or nonconformance of the work of any Contractor. ARTICLE V DESIGNATED REPRESENTATIVES: FNI and CITY designate the following representatives: CITY's Designated Representative - (Jennifer Lee, Project Manager, City of Pearland, 3519 Liberty Drive, Pearland,Texas 77581,281-652-1760). GCE will render the following professional services in connection with the development of the proposed project. The Conduit design and construction documents will be prepared in general accordance with TxDOT standards and criteria. 1. 4"Fiber Optic Design GCE will utilize the project topographic survey and mainly the Illumination Plans prepared by Freese and Nichols, Inc. (FNI) for the project limits to prepare fiber optic conduit drawings. (GCE) was directed to prepare Letter of Map Revision (LOMR) to revise the flood maps along Hickory Slough, per the approved Conditional Letter of Map Revision (CLOMR) for the project. The proposed additional work comprised of submitting the LOMR to Federal Emergency Management Agency’s (FEMA). The proposed additional work consists as the following: 1. LOMR Report Submission GCE will prepare a LOMR Report for the project consistent with the requirements of FEMA. The report will include required forms, exhibits, and other supporting data as follows: •Incorporate the As-built geometry of McHard Road cross-sections, Hickory Slough Pond, and Hickory Slough cross-sections within the limits of the CLOMR study. •Compare the results of revised HEC-RAS models with the effective HEC-RAS models developed prior to construction of the project. •Prepare Form 1, entitled "Overview and Concurrence Form" obtained from http://www .fema.gov/media-library/assets/documents/1343. •If as-built conditions differ from the proposed plans, prepare the following forms: I.Form 2, entitled "Riverine Hydrology and Hydraulics Form", Hydraulic analyses for as-built conditions of the base flood, the 10-percent, 2-percent, and 0.2- percent-annual-chance floods, and the regulatory floodway. It is anticipated that there will be one (1) request for clarification/modification of the analyses by FEMA. In addition, GCE will coordinate with the local regulatory agencies throughout the review process. PROJECT COST The work described in the above scope tasks will be performed at a lump sum cost of $45,760.00.
