A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND,
TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO
ENTER INTO A PROFESSIONAL SERVICES CONTRACT WITH H3
STUDIOS FOR THE DESIGN OF A DOWNTOWN DEVELOPMENT
DISTRICT PLAN.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS:
Section 1. That certain contract by and between the City of Pearland and H3
Studios, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all
purposes, is hereby authorized and approved.
Section 2. That the City Manager or his designee is hereby authorized to execute
and the City Secretary to attest a contract with H3 Studios, for the design of a Downtown
Development District Plan.

PROFESSIONAL SERVICES CONTRACT
This Professional Services Contract ("Contract") is made this'2~aY of ~" 2004, by and
between City of Pearland, Texas ("Client") and H3 Studio Inc., a Missouri Corporation, (Federal ID No.
43-1864805) ("Consultant"), authorized to work in the State of Texas.
As provided in this Contract, H3 Studio Inc. will provide professional services necessary for the planning
and concept design of the Downtown Development District Plan in the City of Pearland, Texas ("the
Project").
The Client and Consultant, for mutual consideration, the sufficiency of which is acknowledged, and under
the terms and conditions hereinafter set forth, do agree as follows:
SECTION I. SCOPE OF SERVICES TO BE PERFORMED
Upon request of the City of Pearland, acting through Mr. Nicholas J. Finan, Executive Director of
Community Services as Project Manager, the Consultant agrees to provide the following professional
services: planning and urban design services, and other services incidental and necessary to augment
the City of Pearland in the planning and concept design of the Downtown Development District Plan. The
services provided by the Consultant under this contract shall consist of only those matters detailed in this
contract or requested in writing by Mr. Nicholas J. Finan, Executive Director of Community Services
acting as Project Manager.
H3 Studio Inc. will provide the "Basic Services" described in attached Schedule 1. The Basic Services will
be provided in four (4) phases ("Phases") as identified in Schedule 1. Each Phase will be approved and
accepted by the Client, in writing, upon completion of such Phase(s). The Basic Services authorized by
the Client shall be paid for by Client as provided below.
Certain of the Basic Services may be performed bY consultants to H3 Studio Inc., but H3 Studio Inc. will
remain responsible for the full performance of such services. The proposal is designed to meet all
requirements set out in the RFP developed by the City of Pearland as per Attachment A
SECTION 2. PROJECT TEAM, TIME AND LOCATION OF PERFORMANCE
The services of the consultant are to commence as of '~a3_~ftn~y of t~)~J~IP,~-/' 'z004 and shall be for the
duration of the project with a minimum term of six months renewable by mutual written consent for an
additional six months.
The project team includes the following: H3 Studio Inc. (John Hoal, Principal; Laura Lyon, Project
Manager; Mara Perry, Urban Designer: Technicians and others on an as needed basis); The primary
contact during normal businesses hours will be the Project Manager, Laura Lyon.

COMPENSATION
The work outlined in the Scope of Services - Schedule 1 will be completed for the lump sum of
$78,500.00 (seventy-eight thousand five hundred dollars and no cents).
The lump sum fee will include $2,500 (two thousand five hundred dollars and no cents) set aside
for engineering services performed by a sub-consultant as approved by the City of Pearland and
$6,000 set aside for economic/financial planning performed by a sub-consultant as approved by
the City of Pearland.
For the work outlined in the Scope of Services, including any work approved for subcontracting,
the Client will pay and the Consultant agrees to accept payment for services based upon
percentage of work completed. See Schedule 2 for Phase Milestones and percentage of fee. H3
Studio Inc.'s and other approved sub-consultants fees for Additional Services shall be billed on an
hourly basis at the rates set forth in Schedule 2.

(d)
"Reimbursable Expenses" shall include actual expenditures made by H3 Studio Inc. in the
interest of the Project and beyond that which is contained in Schedule 1. Reimbursable
Expenses shall include costs of items such as the following:
(i) Copying of drawings, reports, and other documents prepared in connection with the
services of H3 Studio Inc. under this Contract beyond that which is contained in Schedule
1.
(ii) Duplicate copies of mylars and other photographic products approved in advance by the
client
(iii) Additional renderings and/or model beyond that which is included in this scope of work
(reference schedule 1) as prepared by vendors approved in advance by the Client.
(iv) Special models, perspectives or other promotional materials beyond that which is
included in this scope of work (reference schedule 1) as approved in advance by the
Client.
(v) Fees and expenses of special consultants beyond that which is included in this scope of
work (reference schedule 1) as approved in advance by Client.
SECTION 4. METHOD OF PAYMENT
Monthly invoices are submitted by H3 Studio Inc. based on the percentage of work completed according
to the tasks outlined in Schedule 1. Client shall notify H3 Studio Inc., in writing, of any and all objections, if
any, to an invoice within ten (10) days of the date of invoice. Otherwise, the Client shall deem the invoice
proper and acceptable. Amounts indicated on invoices are due and payable within 15 days.
SECTION 5. CLIENT'S RESPONSIBILITY
The Client agrees to provide full, reliable information regarding its requirements for the Project and, at its
expense, shall furnish the information, surveys and reports, if available, listed on attached Schedule 3. In
addition, the Client agrees to provide, at its expense and in a timely manner, the cooperation of its
personnel and such additional information with respect to the Project as may be required from time to
time, to be provided by the Client for the performance of H3 Studio Inc.'s work. The Client shall designate
a Project Representative (Project Manager) authorized to act on behalf of the Client with respect to this
Agreement and agrees to render any decisions promptly to avoid unreasonable delay to the Project and
the performance of H3 Studio Inc.'s work. The Client also agrees to complete all necessary duplication of
documents and other materials for client, stakeholder, and community meetings as well as all reports and
other materials necessary for the project that are beyond that which is stipulated in Schedule 1.
SECTION 6. TERMINATION
Either Client or H3 Studio Inc. may terminate this Contract by giving written notice at least thirty (30) days
prior to the date of termination. In the event of such termination, Client shall pay H3 Studio Inc. for
Services and Reimbursable Expenses performed or incurred prior to the termination.
No party shall have a claim of damages for loss of profit in the event of termination hereunder. Neither
party shall be relieved of liability for damages sustained as a result of breach of this Contract. The right to
terminate hereunder shall be in addition to and without prejudice to any other right or remedy.
SECTION 7. WORK PRODUCTS
Any documentation prepared or provided by H3 Studio Inc. hereunder shall be the property of the City of
Pearland and are prepared for this Project only, but may be used by H3 Studio Inc. for purposes of
illustrating the scope and nature of project involvement to others. H3 Studio Inc. shall provide Client with
one reproducible set of drawings and specifications and one electronic copy for its records. H3 Studio
Inc. will not be held liable or responsible on any account if client uses said documentation for projects
outside of the Old Townsite District without the written agreement of H3 Studio Inc.

SECTION 8. LIMITATION OF LIABILITY
Client agrees that H3 Studio Inc.'s liability for damage on account of any act, error, omission or other
professional negligence to the Client shall be limited to the amount paid by Client hereunder for H3 Studio
Inc.'s fees for Basic Services.
SECTION 9. NOTICE
Any notice required or permitted under the terms of this Contract shall be deemed to have been duly
served when personally delivered or delivered by registered or certified mail, return receipt requested and
addressed as follows:

SECTION 10.
(a)
MISCELLENEOUS
Client and H3 Studio Inc. each bind itself and its successors to this Contract. Neither Client nor
H3 Studio Inc. shall assign or transfer its interest in this Contract without the written consent of
the other.
(b) This Professional Services Contract constitutes the entire agreement between the parties with
respect to the subject hereof and neither has been induced to make or enter into this Contract by
reason of any oral or written agreement or representation other than as contained herein.
(c) This Professional Services Contract may be modified or changed only by a written amendment
that is signed by both the Client and H3 Studio Inc.
(d) The laws of the State of Texas shall govern the interpretation and enforcement of this
Professional Services Contract.
(e) Any individual who signs this Professional Services Contract on behalf of Client or H3 Studio Inc.,
represents, promises, and guarantees, that he or she is fully authorized to execute this Contract
on behalf of his, or her employer or company.
(f) H3 Studio is approved to work in the State of Texas from the Office of the Secretary of the State.
In witness whereof, the parties hereto have caused this Contract for Professional Services to be executed

SCHEDULE1
SCOPE OF SERVICES FOR THE OLD TOWNSITE DOWNTOWN DEVELOPMENT DISTRICT PLAN
FOR THE CITY OF PEARLAND~TEXAS
Upon request of the City of Pearland, acting through Nicholas J. Finan, Director of Community
Development as Project Manager, the Consultant agrees to provide the following professional planning
and urban design services, and other services incidental and necessary to augment the City of Pearland
in the planning, concept design and creation of the Pearland Old Townsite Downtown Development
District Plan. The services provided by the Consultant under this contract shall consist of only those
matters detailed in this contract.
PROJECT OBJECTIVE
The project's overall intent will be to develop an urban design plan that enhances the possibilities
associated with revitalizing the Pearland Downtown. The general study area is bound by West Orange
Street to the north, Walnut Street to the South, N. Austin Street to the West and N. Galveston Street to
the east, but will consider those areas immediately adjacent to and that will have an impact on this area.
The intent is to derive an action plan for the development, redevelopment and preservation of this area.
CITY'S RESPONSIBILITY
The City agrees to provide full, reliable information regarding its requirements for the Project and, at its
expense, shall furnish the information, surveys and reports, if available, listed on attached Schedule 3. In
addition, the City agrees to provide, at its expense and in a timely manner, the cooperation of its
personnel and such additional information with respect to the Project as may be required from time to
time, to be provided by the City for the performance of H3 Studio Inc.'s work related to items listed in
Schedule 3. The City's designated project representative (Project Manager) authorized to act on behalf
of the City with respect to this Agreement and agrees to render any decisions promptly to avoid
unreasonable delay to the Project and the performance of H3 Studio Inc.'s work. The City also agrees to
complete all necessary duplication of documents and other materials for City, stakeholder, and
community meetings as well as all reports and other materials necessary for the project that are beyond
that which is stipulated in herein.
PROJECT TIMELINE:
The proposed work plan to complete the Plan consists of project initiation and four phases of professional
services. The four phases are estimated to be completed within five (5) months as a joint effort among a
consultant team, the City of Pearland, stakeholders, and concerned citizens. The planning process is
designed to provide interaction with the public at-large while still meeting the goals and time frame set by
the City of Pearland. The five-month time period will commence immediately after the contract has been
approved.

BASIC SERVICES
H3 Studio Inc. will provide the "Basic Services" described herein. The Basic Services will be provided in
four (4) phases ("Phases"). Each Phase will be approved and accepted by the City, in writing, upon
completion of such Phase(s). The proposed Old Townsite Downtown Development District Plan consists
of the following sequential tasks.
PROJECT INITIATION

The purpose of this task is to confirm the project schedule, scope, work products,
planning process, and project team members with the client. In addition, key issues and
local constituencies need to be identified in as much they impact the planning process.

Base Mapping
The base maps will be provided by the City or representative thereof and provided to the
consultant. Base maps sufficient to perform initial data collection efforts will be provided
at two scales: a "Context Area" map and "Old Townsite District Area" map. Base maps
will be provided to the consultant in AutoCAD 14/2000 format and the Old Townsite
District Area map needs to include at a minimum the topography, blocks, streets, parcels,
key infrastructure (water, sanitary sewer and storm sewer) and amenities, key utilities
and any other limitations on the potential redevelopment of the Downtown. The Old
Townsite District Area map's boundaries will extend two blocks beyond the designated
Project Area. The Context Map needs to include all major roads, blocks, and lots. Digital
Aerial photography to be provided at both scales in compatible formats with AutoCad and
Adobe software.

Analysis Work Session
A site visit will be conducted to complete the urban design analysis and hold a series of
meetings with the City, Stakeholders, and any other City of Pearland designated groups
to fully understand the project and collect the necessary information. The City of
Pearland will organize and notify all necessary participants in a timely manner.

Analysis of Existing Conditions
The consultant will use information collected to develop the existing conditions maps for
the site. The City will provide to the consultant any previous studies, the history of the
site including previous plans and historic photographs, etc. Based upon client provided
information and a visual survey, the consultant will prepare the following existing

conditions analysis maps at two scales: the context study area and the schematic plan
study area.
CONTEXTUALAREA:
Maps 1-2: Context
These maps provide a perspective of the scale and location of the focus area in relation
to the city and adjacent communities/neighborhoods. The maps will also highlight
primary natural amenities, and primary transportation routes that connect the project area
to the region. Linkages need to be identified which are defined as other nearby tourist
sites, businesses, institutions, recreation areas, heritage sites, etc.

These maps need to address the needs and relationships of the immediate area where
significant study will take place.

These rates would only apply for additional
work above and beyond the agreed upon
scope of services.
For any additional services beyond those outlined in the scope of services (Schedule 1),
reimbursable expenses shall be the project-related expenses such as additional documents,
copies and media actually incurred by the Consultant and shall be compensated by the City at
actual costs multiplied by a factor of 1,25 for reimbursables other than meals, lodging and travel
which will be reimbursed at actual cost. All expenses associated with meals, lodging and travel
must be approved in writing by the City prior to the Consultant incurring any expense associated
therewith; otherwise, the parties hereto agree and understand that the City shall not be liable and
the Consultant shall not make a claim against the City for any such expenses.

The City agrees to provide to H3 Studio Inc. the following information where available prior to the
start date of the contract:
Base Map Information:
H3 Studio Inc. will develop base maps for the Project Study Area upon the following information
being provided:
1. Base map information for the Project Study Area needs to be provided by the client to the
project team in an electronic format (AutoCAD). The base map information for the
Context Study Area as determined by H3 Studio Inc. needs to include Downtown
Pearland, important adjacent highways and entrances into Downtown, adjacent project
areas and any other key features that the client requires the project team to take into
account.
2. A digital copy of the aerial photograph of the context area readable in AutoCAD format

Request for Proposal: Creation of a Downtown Development District

Dear Consultant,
Congratulations on being chosen as one of five firms to be chosen to move to the next
round of reviews for Pearland's Old Townsite - Downtown Development District. The
primary intent of the Request for Qualifications was to determine a firm's capabilities. At this
point, the city has determined it would like proposals submitted with more specificity. The
city is limited by budget constraints, and it is critical that as this project moves forward there
is a clear understanding of expectations and deliverables. Below is an outline of what we
would like to see in a proposal. We ask that you be as specific as possible, particularly with
the methodology, schedule, and final products and materials.
An overall Urban Design Plan for the Old Townsite in conjunction with a transportation
plan addressing the status of Broadway (FM 518) as a major east-west artery and State
Highway 35 as a gateway into the area.
Methodology to incorporate public participation in the formulation of the plan, addressing
involvement of city wide stake holders as well as local businesses, churches,
residences, schools, colleges and other public and semi-public institutions.
Incorporation of the Old Townsite plan into the City's Comprehensive Plan. Formulation
of development codes and ordinances in co-ordination with the City's Unified
Development Code while addressing the legal ramification. Review and incorporation of
applicable regulations contained within the current draft proposal of City of Pearland
Village Zone District.
· Development of an implementation plan with suggestions on realizing changes to the
Old Townsite with both public and private investment.
A project work schedule with specific milestones to demonstrate ability to meet the
specified deadline for completion of the plan for Pearland's Old Townsite. If the
proposed time of completion exceeds the deadline provide details to explain the need
for additional time.
Cost breakdown corresponding to the project work schedule or a commitment that the
proposal submitted can be completed within budget (See below). Include particulars of
products that would be delivered within the City's budget.
The City feels strongly that the above can be delivered within a budget of $80,000. The
creation of guidelines/regulations, implementation strategy, and an overall visual plan are

the main focus and intent of the request. The overall visual plan needs to be flexible enough
to allow developers an opportunity to bring in their own concepts that merges their specific
project with the overall theme of the Old Townsite. At the same time it needs to be specific
enough to provide common character and visual coherence. The scope of the project does
need to include input into establishing a vision/identity for the Old Townsite. It is thought the
Old Townsite district could become a focal point of Pearland and provide more of an identity
to the city as a whole. The City of Pearland has a March 31, 2005, expectation for project
completion. Please comment on this expectation in your submittal.
We realize it takes a great deal of effort and that there are costs associated with the
submission of proposals. However, since you already of an idea of the project from your
first submission, we hope that you will be able to respond quickly to our request. We would
like a submission by 5:00 pm, September 7, 2004. At this time we would like 6 printed
copies of your proposal. Should you be chosen to interview with City Council, we would
need an additional ten copies the week of September 21.
Our expected schedule for selection at this time is as follows:

Let this memo serve as an update to provide additional information in the preparation of your RFP.
Included:
PEARLAND Old Townsite,A Strategic Vision for Revitalization
Please read this and allow it to provide some background on the old townsite. Do not take it as
conclusive or as a conceptual design. It is critical that the community within the district and the city as a
whole is included with staff, the Planning and Zoning Commission, and City Council in determining a
vision/theme/focus to determine how the district is to develop.
Updated Comprehensive Plan
The relevant section of the Updated Comprehensive Plan that was recently prepared in May 2004 is
included for additional background on what the thoughts are generally dealing with the old townsite. It
served as one of the catalysts for the creation of the district and its redevelopment, codes, etc. and
thus, this request for proposals.
State Highway 35 Corridor Study Information
The first bullet on the RFP mentions incorporation of the design plan with the transportation plan
including SH 35. For your benefit, in case you are not aware of it, there is a SH 35 Corridor study that
is ongoing. The SH35 Progressions newsletter provides some information for background purposes
and update. Also, included is a viable alternatives map. Note the possible alternatives are the
widening of SH 35 where it is currently, utilizing the railroad ROW along Mykawa, redirecting SH 35 to
SH 288, or by-passing the old townsite portion of Pearland.
For clarification the first bullet on the RFP is intended to be for a"conceptual" Urban Design Plan. It is
not expected a specific plan would be developed. The fourth bullet is intended to assist the city with
your ideas on once a plan is in place with the appropriate codes, how can the city move forward to
develop the district as outlined in the study.
