R2004-118 07-26-04 RESOLUTION NO. R2004-118 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS, AUTHORIZING THE CITY MANAGER OR HIS DESIGNEE TO ENTER INTO AN INTERLOCAL AGREEMENT WITH BRAZORIA COUNTY DRAINAGE DISTRICT NO. 4 FOR REPLACEMENT OF THE LONGWOOD BRIDGE. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PEARLAND, TEXAS: Section 1. That certain interlocal agreement by and between the City of Pearland and Brazoria County Drainage District No. 4, a copy of which is attached hereto as Exhibit "A" and made a part hereof for all purposes, is hereby authorized and approved. Section 2. That the City Manager or his designee is hereby authorized to execute and the City Secretary to attest an interlocal agreement with Brazoria County Drainage DiStrict No. 4, for replacement of the Longwood Bridge. COKER CITY ATTORNEY July TOM REID MAYOR Exhibit "A" Resolution No. R2004-118 INTERLOCAL AGREEMENT BETWEEN CITY OF PEARLAND AND BRAZORIA DRAINAGE DISTRICT NO. 4 This AGREEMENT is made between BRAZORIA DRAINAGE DISTRICT NO. 4 (District) and the City of Pearland (City), hereinafter referred to as the District and City respectively, each being a governmental entity pursuant to the Interlocal Cooperation Act. RECITALS WHEREAS, the City finds it necessary to replace a timber bridge located on Longwood Drive north of FM 518; and WHEREAS, the replacement of said timber bridge will directly impact the function of the District's ditches and other drainage facilities; and WHEREAS, the District and the City have each agreed to contribute certain material, equipment, Or efforts to the accomplishment of this goal, pursuant to the authority of the Interlocal Cooperation Act, V.T.C.A. Gov. Code Sec. 791.001 et seq.; NOW, THEREFORE, for the mutual consideration, and covenants set forth below, the District and the City agrees as follows: I. REPLACEMENT OF TIMBER BRIDGE 1.01 1.02 The District agrees to furnish labor and equipment as necessary to remove and ulvert type bridge :-~' ............ ~' ......... : The City agrees to furnish all materials necessary for said replacement and to provide traffic control as necessary. II. MISCELLANEOUS 2.01 All parties intend that the District, in performing such services, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The District is not to be considered an agent or employee of the City. 2.02 All parties intend that the City, in performing such services, shall act as an independent contractor and shall have control of its own work and the manner in which it is performed. The City is not to be considered an agent or employee of the District 2.03 To the extent permitted by law, the District agrees to hold harmless and release the City, its agents, officers and employees from any and all loss, damage, cost demands and causes of action of any nature or kind, including legal fees, for loss or damage to property, or for injury or death to persons, arising in any manner from the performance of the above referenced construction. 2.04 To the extent permitted by law, the City agrees to hold harmless and release the District, its agents, officers and employees fi:om any and all loss damage, cost demands and causes of action of any nature or kind, including legal fees, for loss or damage to property, or for injury or death to persons, arising in any manner from the performance of the above referenced construction. 2.05 The City executes this Agreement by and through its City Manager, acting pursuant to a Resolution of the City Council so authorizing; the District executes this Agreement by and through the Chairman of the Board of Commissioners acting pursuant to authorization of the Board of Commissioners of the District. 2.06 Nothing herein shall be construed to make either party a purchaser or consumer of goods or services fi:om the other. 2.07 Nothing herein shall be construed to create any rights in third parties. 2.08 This Agreement may only be amended, modified, or supplemented in writing and subsequently dated by the District and the City.
